Annual corporate recordkeeping checklist for Canada

An annual review works best as a repeatable process. Federal and provincial corporations can have different filing, governance, tax, and transparency obligations, so always begin with current official instructions.

This checklist is an organizational starting point, not a statement of what every Canadian corporation must file. Requirements vary by jurisdiction, corporation type, governing documents, ownership, and recent changes.

1. Confirm the corporation's core details

  • Legal name, corporation number, governing jurisdiction, registered office, and financial year-end.
  • Current registry status and the contact information used for official notices.
  • Any amendments, extra-provincial registrations, name changes, or address changes made during the year.

2. Reconcile people and authority

  • Review current and historical directors and officers.
  • Connect appointments, resignations, and role changes to their supporting resolutions or minutes.
  • Confirm that internal records and registry information agree, where applicable.

3. Reconcile ownership records

  • Review share classes, authorized rights and restrictions, issuances, transfers, repurchases, cancellations, and conversions.
  • Confirm that shareholder balances can be traced back to supporting transactions and approvals.
  • Check the applicable authority's current transparency or beneficial-ownership requirements rather than relying on last year's process.

4. Organize annual decisions and filings

  • Record annual meeting minutes or written resolutions using the process appropriate for the corporation.
  • Verify current annual return requirements with the governing registry.
  • Keep registry confirmations, completion dates, and copies of submitted information.
  • Treat corporate registry filings, tax filings, and internal corporate approvals as separate workflows.

5. Verify the records can be recovered

Create a dated backup before and after the annual review. Store an independent copy away from the working computer, and test that the backup can actually be restored. A successful export is not the same as a successful recovery test.
