1. Agreement to Terms

By purchasing, downloading, installing, or using MinuteKeep ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legal agreement between you ("User," "you," or "your") and Ownerstate Software, the publisher of MinuteKeep ("we," "us," or "our").

2. License Grant

2.1 License Type

Direct Mac edition: Upon purchase, you receive one license key granting a perpetual license to use the purchased version of MinuteKeep on up to two Macs at a time.

Microsoft Store Windows edition: Your purchase and installation entitlement is associated with your Microsoft account and governed by the Microsoft Store terms shown at purchase. This edition does not use a separate MinuteKeep license key.

Mac App Store edition: Your purchase and installation entitlement is associated with your Apple Account and governed by Apple's App Store terms. This edition does not use a separate MinuteKeep license key.

2.2 Permitted Use

Your license permits you to:

  • Use the direct Mac edition on up to two activated Macs that you own or control
  • Install the Windows edition on devices permitted by your Microsoft Store entitlement
  • Install the Mac App Store edition on devices permitted by your Apple purchase entitlement
  • Use the Software for personal or commercial business purposes
  • Create backups of the Software and your data
  • Install maintenance and security updates made available for your licensed version
  • Export your data at any time in multiple formats

2.3 Restrictions

You may not:

  • Publicly distribute or resell license keys
  • Reverse engineer, decompile, or disassemble the Software
  • Use the Software to develop competing products
  • Use the Software in any way that violates applicable laws

3. Licensing by Distribution Channel

The direct Mac purchase includes one key with two simultaneous Mac activations. Deactivate MinuteKeep on one Mac before moving that activation to a replacement Mac. The direct edition's license service may periodically validate an activation and provides a bounded offline grace period after a successful validation.

The Microsoft Store Windows edition does not issue MinuteKeep license keys. It is one Microsoft-account entitlement, not two keys. Under Microsoft's current Store rules it may be installed on up to 10 compatible Windows devices associated with that account; Microsoft manages and may change those account and device rules.

The Mac App Store edition does not issue a MinuteKeep key. Apple manages purchase authorization, installation entitlement, and App Store updates through your Apple Account.

Each distribution channel is a separate purchase. A direct Mac key, Microsoft Store entitlement, or Mac App Store entitlement does not unlock or transfer to another edition.

Do not publish, resell, or share a direct-edition key outside the licensed user or organization. If you need help with a direct Mac activation, contact Ownerstate Software. For Store account, purchase, installation-limit, or Store refund issues, use Microsoft or Apple support for the Store where you purchased the edition.

4. Payment and Refunds

4.1 Payment

MinuteKeep is sold as a one-time purchase in each distribution channel. Direct Mac purchases are priced in USD unless otherwise stated and are processed by Stripe. Windows purchases are processed by Microsoft Store, and Mac App Store purchases are processed by Apple, using the currency, price, tax treatment, and payment methods displayed by that Store for your account and region. The editions are separate purchases.

4.2 Refund Policy

For direct Mac purchases, sales are final once the digital license is delivered. MinuteKeep does not offer a free trial or a voluntary 14-day refund period. Nothing in these Terms limits refunds or remedies required by applicable law.

Ownerstate Software may, at its discretion, refund duplicate direct charges or purchases where a verified technical issue prevents delivery or activation and support cannot resolve it. Contact [email protected] with your order details.

Microsoft Store purchases and refund requests are handled under Microsoft's terms of sale and applicable Store policies.

Mac App Store purchases and refund requests are handled under Apple's terms of sale and applicable App Store policies.

5. Software Updates

Ownerstate Software may make maintenance, security, compatibility, or feature updates available. Updates may include:

  • Bug fixes and security patches
  • New features and improvements
  • Compatibility updates for new operating systems

Microsoft Store delivers updates for the Windows Store edition, and Apple delivers updates for the Mac App Store edition. The direct Mac edition uses Ownerstate Software's signed update channel.

We may change or discontinue update availability, features, or online services. Your perpetual right to use the purchased version remains subject to these Terms.

6. Data and Privacy

MinuteKeep stores corporate-record content locally on your computer. Ownerstate Software does not have access to that content. Direct-edition licensing and update checks, and Store-managed purchase and update services, process the limited technical data described in our Privacy Policy.

You are solely responsible for:

  • Backing up your data regularly
  • Protecting access to your computer and the Software
  • Maintaining the confidentiality of sensitive corporate information

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that:

  • The Software will meet your specific requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Software will be accurate or reliable
  • Any errors in the Software will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Business interruption
  • Computer failure or malfunction
  • Any other damages arising out of the use or inability to use the Software

Our total liability shall not exceed the amount paid for the Software license.

9. Not Legal Advice

Important: MinuteKeep is a record-keeping and document management tool. It does not provide legal advice and should not be relied upon as a substitute for professional legal counsel.

The templates, compliance reminders, and other content provided are for informational purposes only. You should consult with qualified legal professionals regarding corporate governance matters specific to your jurisdiction and circumstances.

10. Intellectual Property

MinuteKeep, including its code, design, documentation, and branding, is protected by copyright and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

You retain ownership of all data and documents you create using the Software.

11. Termination

We may terminate your license if you breach these Terms. Upon termination:

  • Your right to use the Software ends immediately
  • You must uninstall and destroy all copies of the Software
  • Your data remains on your computer (we have no access to delete it)

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Software after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles.
