Common minute book mistakes and how to fix them

The most damaging problems are often ordinary: missing dates, inconsistent names, unsupported ownership balances, duplicate documents, silent edits, and backups that were never tested.

Start with an inventory, not a rewrite

List the records you have and the corporations, periods, people, transactions, and decisions they cover. Mark gaps and uncertain items. Do not recreate a missing record merely to make the file look complete.

Reconcile facts against source documents

  • Compare legal names, dates, roles, addresses, share classes, and balances across the relevant records.
  • Trace each share balance through issuances, transfers, cancellations, and other transactions.
  • Connect appointments, resignations, and approvals to the minutes or resolutions that support them.
  • Compare internal records with current registry information where appropriate.

Distinguish correction from reconstruction

A typo corrected from an authoritative source is different from filling in an event that was never documented. Record the source, date, and reason for a correction. If the underlying authorization is uncertain, preserve the available evidence and obtain qualified advice before changing the register.

Do not erase the record trail

Mark drafts and duplicates clearly. Avoid silently overwriting approved, signed, or historical documents. Keep later amendments or corrections as understandable events so another reviewer can see what changed and why.

Back up before bulk changes

Create an independent backup before cleanup, and another after the reviewed state is complete. Test restoration rather than assuming an export is usable. Keep at least one copy away from the computer used for day-to-day work.

Important: Software can reveal gaps and inconsistencies, but it cannot determine whether a historical transaction was legally authorized or whether a missing document should be recreated. Escalate uncertain ownership, authority, approval, or filing questions to an appropriate professional.
